Terms for Creators | Siendr Version 2.0 | Effective date: June 2026 By signing up as a creator on Siendr, you agree to the terms below. Please read them carefully. These terms form a legally binding agreement between you and Siendr. By creating an account, you confirm that you are at least 18 years old, or have the legal authority to enter into contracts in your jurisdiction. --- 1. Who we are Siendr is a marketplace for sports video clips, operated from the Netherlands. Creators upload sports footage and buyers purchase licenses to use those clips. --- 2. Ownership and copyright You may only upload content that you have filmed yourself and for which you hold all necessary rights. By submitting content, you declare that: - The videos are your own original work, or you hold all necessary rights to license them on Siendr. - You have obtained valid, documented consent from all recognizable individuals filmed (portrait rights / recht op afbeelding under Dutch law). - You have not used copyrighted music without a valid license. - The content does not infringe third-party intellectual property rights. - You did not record the content in violation of any venue rules, stadium policies, or accreditation agreements that restrict filming or distribution. 2.1 Sports broadcast rights Many professional sports events are covered by exclusive broadcast agreements. Broadcasters hold a neighboring right under international law (Rome Convention) that protects their signals and recordings. If you film at a professional sports event, you are responsible for ensuring that: - Your footage does not reproduce a broadcast signal (for example, recording a TV screen or a live stream feed). - Your filming was permitted under the terms of admission or press accreditation for that event. - Uploading and selling the footage does not violate any exclusivity arrangement between a sports organization and a broadcaster. Siendr does not verify whether individual clips are subject to broadcast restrictions. That responsibility rests entirely with you as the uploading creator. --- 3. Indemnification If a third party makes a claim against Siendr arising from content you have uploaded (including but not limited to claims relating to portrait rights, intellectual property, broadcast rights, defamation, or privacy), you agree to: - Defend Siendr against that claim at your own cost. - Reimburse Siendr for any damages, settlements, fines, and reasonable legal costs it incurs. - Cooperate fully and promptly with Siendr's response to the claim. Siendr will notify you promptly of any such claim. Siendr may take control of the defense if it determines this is necessary to protect its interests. Any settlement that creates a direct financial obligation for you requires your written consent, which you may not withhold unreasonably. This indemnification obligation survives the termination of your account. --- 4. Permitted content Only sports-related video content is permitted on Siendr. The following content is strictly prohibited: - Explicit sexual content or nudity. - Content that incites violence, hatred, or discrimination. - Recordings made without the consent of the individuals depicted. - Content that violates applicable law. - Misleading or fraudulent content, including staged incidents presented as real events. - Content recorded in violation of venue access rules or broadcast exclusivity agreements. - Duplicate uploads or content uploaded to artificially inflate sales or payout figures. Siendr reserves the right to remove content at any time without prior notice if it violates these rules, if a valid third-party complaint is received, or if Siendr determines in its reasonable discretion that the content creates legal or reputational risk for the platform. Clips that were already purchased before removal will remain accessible to buyers who paid for them. Removal does not entitle the uploading creator to compensation for lost future sales. --- 5. License to Siendr By uploading content, you grant Siendr a non-exclusive, worldwide, royalty-bearing license to: - Display and sell your clips via the platform. - Use thumbnails, previews, and short excerpts for marketing and promotional purposes. - Make technical adjustments (such as compression, resizing, or format conversion) required for publication. - Sublicense the content to buyers under the standard Siendr buyer license. You remain the owner of your content at all times. This license remains in effect for as long as your content is listed on the platform. If you delete content or your account is terminated, the license ends for that content from that point forward. Buyers who purchased a clip before deletion retain their license and continued access. --- 6. Revenue, payouts, and VAT Siendr uses the following revenue split per sale: - 80% to the creator. - 20% retained by Siendr as a platform fee. Payouts are processed via Stripe Connect. You are responsible for setting up and maintaining a valid Stripe account, providing accurate tax and banking information, and keeping your payout details up to date. Siendr is not liable for failed or delayed payouts caused by incorrect information provided by you, Stripe service interruptions, bank errors, or regulatory holds outside Siendr's control. 6.1 Revenue split changes Siendr may change the revenue split with a minimum of 30 days written notice to your registered email address. If you do not agree to the new split, you may close your account before the change takes effect. Continuing to use the platform after that date constitutes acceptance of the new split. 6.2 VAT - If you have a VAT number: you receive payouts including VAT and are responsible for declaring and remitting VAT to the relevant tax authority yourself. - If you do not have a VAT number (hobby or small business exemption): you receive payouts excluding VAT. Siendr handles VAT remittance on your share. - You must provide your VAT status accurately at registration and notify Siendr of any changes within 14 days of the change. --- 7. Refunds and chargebacks 7.1 Buyer refunds Siendr may issue a refund to a buyer in cases including: the downloaded clip does not match its description, the clip is technically defective (corrupted or unplayable), a valid copyright or broadcast rights complaint is upheld after purchase, or Siendr determines a refund is warranted to prevent a chargeback or dispute escalation. If Siendr issues a refund that it attributes to a problem with your content, the refunded amount will be deducted from your next payout. Siendr will notify you by email when this occurs. 7.2 Chargebacks If a buyer initiates a chargeback through their bank or card provider, the disputed amount is placed on hold pending resolution. If the chargeback is upheld, the amount (plus any chargeback processing fees passed on by Stripe) will be deducted from your balance or future payouts. A sustained high chargeback rate linked to your content may result in account suspension. 7.3 Creator payout disputes If you believe a deduction from your payout was made in error, contact Siendr at louiejaysienders@gmail.com within 30 days of the deduction. Siendr will review and respond within 14 business days. --- 8. Account approval, suspension, and termination 8.1 Approval Your account will only be activated after a Siendr administrator approves your application. Siendr may reject applications without giving reasons. 8.2 Suspension Siendr may suspend your account at any time for violations of these terms, receipt of valid third-party complaints, unusual activity patterns, or regulatory requirements. During suspension, your content will not be available for sale and payouts may be placed on hold. 8.3 Termination Siendr may permanently terminate your account for material or repeated violations of these terms, fraudulent or deceptive activity, legal or regulatory orders, or a sustained high chargeback or complaint rate. Upon termination, your content will be removed from the platform. Buyers who purchased clips before termination retain their licenses. Any earned, unpaid balance at the time of termination will be paid out within 60 days, unless the balance is subject to an active dispute, fraud investigation, or third-party claim. 8.4 Closing your own account You may close your account at any time by contacting louiejaysienders@gmail.com. Your clips will be removed from sale. Existing buyer licenses are not affected. --- 9. Fraud and prohibited conduct The following is strictly prohibited and will result in immediate account termination: - Creating multiple accounts to circumvent a suspension or ban. - Purchasing your own clips, directly or through a third party, to inflate sales figures or payout amounts. - Providing false information about your identity, VAT status, or rights to content. - Attempting to manipulate Siendr's review or moderation processes. - Any conduct that constitutes fraud under Dutch or applicable EU law. Siendr reserves the right to reverse payouts and recover funds linked to fraudulent activity. Siendr will report suspected fraud to relevant authorities where required by law. --- 10. Data processing and GDPR Siendr processes your personal data (including name, email address, bank details, and upload metadata) as a data controller under the General Data Protection Regulation (GDPR) and the Dutch Uitvoeringswet AVG. Your data is processed for the following purposes: - Operating your creator account and processing payouts. - Complying with tax and financial regulations. - Communicating with you about your account and these terms. You have the right to access, correct, restrict, or delete your personal data by contacting louiejaysienders@gmail.com. Some data may be retained even after account closure to meet legal obligations, including tax records which Siendr retains for 7 years under Dutch law (Bewaarplicht). For full details on how Siendr handles personal data, refer to the Siendr Privacy Policy. --- 11. Liability Siendr is not liable for indirect damages, lost revenue, or consequential losses arising from use of the platform. Siendr is not liable for payout delays or failures caused by third-party payment processors, for losses arising from content removal or account suspension carried out in accordance with these terms, or for third-party claims against you arising from your own content. Siendr's total liability to you for any claim is limited to the total amount paid out to you through Siendr in the 12 months preceding the incident giving rise to the claim. --- 12. Governing law and disputes These terms are governed by Dutch law. Any disputes will be submitted to the competent court in Amsterdam, the Netherlands. Before initiating formal legal proceedings, both parties agree to attempt to resolve disputes in good faith through direct communication for a period of at least 30 days. --- 13. Changes to these terms Siendr may amend these terms at any time. For material changes, you will receive at least 30 days written notice to your registered email address. Continued use of the platform after that date constitutes acceptance of the amended terms.
